Google Local Services Ads

If your Subscription Services include Google Local Services Ads (“LSA”), you agree to the following additional terms and conditions as a supplement to your Thryv Platform Services Terms and Conditions, the terms of which are incorporated herein by this reference. Capitalized terms used but not defined in these Terms and Conditions will have the same meaning given in the Thryv Platform Services Terms and Conditions. By ordering Google LSA, you agree to participate, if eligible, in Google’s LSA leads program (“Program”), facilitated by us.

  1. Agreement to Google Local Services Ads Terms and Program Policies. By enrolling in or using our Google LSA Subscription Services, you acknowledge and agree that your participation in the Program is governed solely by Google’s applicable terms and policies, which are separate from and in addition to the Thryv Platform Services Terms and Conditions. These include: (a) the Google Advertising Terms in effect between you and Google; (b) the Local Services Additional Terms for Providers; and (c) the Local Services Platform Policies (collectively, the “Google LSA Terms”). You must accept and comply with the Google LSA Terms in order to participate in the Program, and if you do not accept them, you may not use the Google LSA platform.
  2. Incorporation by Reference; Priority. You understand that the Local Services Additional Terms for Providers are an addendum to the Google Advertising Terms and, to the extent of any conflict as to the Local Services platform, the Local Services Additional Terms for Providers will control. The Local Services Platform Policies are incorporated by reference into the Google Advertising Terms, and together these documents govern your use of the Local Services platform.
  3. Key Program Requirements You Must Satisfy. Without limiting your obligations under the Google LSA Terms, you specifically agree to the following program requirements and policies mandated by Google:
    • Compliance with Laws and Regulatory Obligations: You must comply with all applicable laws and regulations in each jurisdiction in which you provide or offer services through the LSA platform, including licensing, insurance, privacy, and payment of all required compensation, fees, dues, and other legal duties.
    • Age Restrictions: You, your workers, and each of your customers must be 18 years of age or older.
    • Employment Status and Conduct: You may not state or imply that you or your team are employees of Google or its affiliates, and Google employees are prohibited from providing services via the platform. You must ensure proper worker classification and payment under applicable employment laws.
    • Customer Relationship; Dispute Resolution: Your customers are not Google’s customers, and you may not involve Google in service issues. You are solely responsible for resolving customer disputes.
    • Pricing and Payment Practices: Pricing information you provide must be accurate, complete, and not misleading; low estimates used to induce bookings followed by unusually high charges are prohibited.
    • Service Quality; Damage Remediation: You must be experienced and qualified; if you cause property damage, you must promptly repair it or provide insurance information so customers can be compensated.
    • Customer Service Standards: You must be responsive before, during, and after services, keep commitments, and only accept jobs within your expertise and license; repeated failures or serious misconduct may lead to lower placement, loss of messaging, or ad removal/suspension.
    • Safety and Professional Conduct: Rudeness, threats, harassment, physical harm, unsafe environments (including impairment), theft, vandalism, spam, phishing, invalid activity, discriminatory behavior, and hate speech are prohibited.
    • Authenticity and Reviews: You must not misrepresent qualifications, licenses, insurance, service areas, experience, or prices; you may not write reviews for your own business, solicit reviews from friends/relatives who haven’t hired you, compensate for positive reviews, or coerce customers regarding reviews.
    • Subcontracting and Lead Selling: You may not sell leads from Local Services Ads; leads must be fulfilled by your company’s vetted and/or background-checked technicians. Subcontracting to non-certified providers may result in permanent ad removal.
    • Service Areas; Accounts: Only one account and job type may use a specific ZIP Code at a time; list only areas where you are permitted to work; duplicate or inactive accounts may be removed; do not attempt to circumvent policies or divert leads off-platform.
    • Ad Content and Brand Use: Photos and content must comply with Google’s content and copyright rules; do not use Google’s branding, logos, or the Google Verified Badge without permission.
    • Minimum Provider Requirements; Verification and Recertification: You must satisfy Google’s Minimum Provider Requirements, including entity verification where required, license verification (and certification that all workers hold necessary licenses), submission of business headshots for professional verticals where required, and completion of Business Affiliation checks where applicable. You and your team may be required to recertify compliance from time to time; access may be denied if you fail to satisfy these requirements.
    • Background Checks (U.S. and Canada): You and any employees, contractors (including subcontractors), or other workers who provide services in customers’ properties must pass third party background checks before participating; you must keep the background check partner informed regarding team members, promptly provide updates, and respond to information requests within the requested time.
    • Data, Monitoring, and Recordings: You authorize Google and its affiliates/agents to access, monitor, and record communications initiated through the programs, and you will obtain any legally required permissions/consents from your team.
    • Disclosures to Users: Google may disclose information about your use of the platform, including responsiveness, repeat users, service volume/duration, and feedback ratings/reviews, which may also appear on third party websites.
    • Content License: You grant Google a worldwide, royalty free license to use content you submit in connection with Local Services, including rights to access/index/cache URLs and to use your trademarks and business identifiers as authorized; you represent and warrant that you hold the rights to grant these permissions.
    • Pricing, Payments, and Methods: You must abide by applicable terms for any payment processing methods made available; Google may add or remove methods at its discretion and without notice.
    • Enforcement; Consequences: Violations may result in disapproval of ads/content, domain disabling, account suspension (including permanent suspension of related/new accounts), reduced placement, or removal from the program.
  4. Google’s Right to Modify Terms. Google may modify the Local Services Additional Terms for Providers and related fees, processes, or provisions, including providing notice of material changes and requiring acknowledgment; continued participation after notice may constitute acceptance. If you do not agree to modified terms, you must discontinue your use of the LSA platform.
  5. Acknowledgment. You acknowledge that: (i) acceptance and ongoing compliance with the Google LSA Terms are conditions of your participation in Local Services Ads; (ii) Google may require you and your team to cooperate in verification and quality assurance activities related to identity, qualifications, and program requirements; and (iii) nothing in your relationship with Google creates an employment relationship with Google or its affiliates.
